        Commercial Law or Trade Law governs the business, commerce and consumer transactions. It is a branch of law in itself and independent one. The branches of law that commercial law is most related to are code of obligations and civil law. With the relation between these laws, it makes them little bit more complicated than already what it is. In 2012 there were major changes in the Turkish Commercial Code. According to the changes;

        – A board member doesn’t have to be a shareholder as it was stipulated in the old Commercial Code.

       – The board of directors in a company can be formed of at least one person instead of three persons.

     – The board members have more responsibilities and they can suffer many penalties if they don’t act according to the company’s best interests.

How the courts decide if there is not any verdict about a commercial clause? 
 
   According to the Turkish Commercial Code article no.1: “In commercial matters for which there is no commercial provision, the court decides according to the commercial customs and, if this is not the case, the general provisions.”

Can you change period of limitation in the contract?

“The statute of limitations stipulated in the laws establishing commercial provisions, Unless there is a contrary regulation in the law, it cannot be changed by contract.”
